Offers
Acceptance of the Supplier's offer to provide services must occur within 28 days from the date of provision; otherwise, the offer expires.
Services
The Supplier undertakes to provide the specified services according to the terms outlined in the Proposal.
Fees
Clients are obligated to pay the Supplier the Fees detailed in the Proposal. In case of late payment exceeding 7 days, the Supplier reserves the right to engage debt recovery services at the Client's expense.
Notices
All communication must be in writing and can be transmitted via hand delivery, registered post, or email. Notices are considered given and received based on the specified delivery method.
Breach & Termination
Clients will be deemed in breach of the Agreement under certain circumstances, including failure to pay Fees, contravening obligations, or acting unprofessionally. The Supplier may terminate the Agreement if breaches aren't remedied within 14 days of notice.
Confidentiality
Both parties agree not to use or disclose each other's Confidential Information without prior written consent, except as permitted by this Agreement or required by law.
Indemnity
The Client agrees to indemnify the Supplier against any actions, claims, losses, or liabilities arising from the Services, including the sale of products or services via the Client's Website.
Limitation of Liability
The Supplier excludes liability for consequential damages and limits representations to those expressly stated in the Agreement or Proposal. Force majeure events exempt the Supplier from liability.
Warranties
Both parties warrant the proper execution of this Agreement and compliance with laws. The Client further warrants the legality and ownership of provided content.
Web Design and Landing Pages
Clients must pay a specified percentage of Fees before commencement and the balance before launch. Revisions beyond the agreed number are subject to additional Fees.
Google AdWords
The Supplier may create and manage a Google AdWords account on the Client's behalf, with no guarantee of performance. Termination within the minimum term incurs immediate payment of remaining Fees.
Facebook / Meta
Facebook advertising is subject to Facebook's terms and conditions. Termination within the minimum term requires immediate payment of outstanding Fees.
Copyright and Intellectual Property Rights
Content provided by the Supplier remains its property until full payment. Clients warrant ownership and legality of provided content.
Responsibilities of the Client
Clients are responsible for failed payment fees and any additional charges incurred. The Supplier may suspend services for unpaid invoices.
Assignment
No party may assign rights under this Agreement without written consent.
Severability
Invalid provisions are to be severed without affecting the remainder of the Agreement.
Liability Waiver for Advice
Market Partner Media Pty. Ltd. provides information and advice related to various topics, including but not limited to construction, building, etc. However, it is important to note that any advice provided by Market Partner Media Pty. Market Partner Media Pty. Ltd. hereby waives any liability for the accuracy, completeness, or reliability of any advice provided regarding construction, building, or similar topics. Clients agree to indemnify and hold Market Partner Media Pty. Ltd. harmless from any claims, damages, losses, or liabilities arising out of or related to the reliance on such advice.
Entire Agreement
This Agreement and the Proposal constitute the entire agreement between the parties, superseding all previous discussions or agreements.
Variation
Amendments to this Agreement require written consent from all parties.
Waiver
Waivers of rights must be in writing to be binding.
Jurisdiction
This Agreement is governed by Queensland law, and parties submit to the jurisdiction of Queensland courts.
